Terms & Conditions
Effective date: [EFFECTIVE DATE] Last updated: [EFFECTIVE DATE]
These Terms & Conditions ("Terms") are a legal agreement between you and [COMPANY NAME] ("BodyCode", "we", "us", or "our") governing your use of the BodyCode mobile application and related services (the "Service").
PLEASE READ THESE TERMS CAREFULLY. They include a medical disclaimer and assumption of risk (Section 5), a disclaimer about AI-generated content (Section 6), a limitation of our liability (Section 12), and a binding arbitration agreement and class-action waiver (Section 14) that affect your legal rights.
1. Acceptance of these Terms
By creating an account, or by accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.
2. Eligibility and age
You must be at least 13 years old to use the Service. If you are between 13 and the age of majority where you live, you may use the Service only with the involvement and consent of a parent or legal guardian who agrees to these Terms on your behalf. In the EEA, where consent is required, you must be at least the digital-consent age in your country (16 unless your country sets a lower age, no lower than 13); below that age, a parent or guardian must consent on your behalf. By using the Service, you represent that you meet these requirements.
3. Accounts and sign-in
You can create an account with an email and password, or by using "Continue with Google" or "Continue with Apple". You are responsible for:
- providing accurate information and keeping it up to date;
- maintaining the confidentiality of your login credentials; and
- all activity that occurs under your account.
Notify us promptly at [CONTACT EMAIL] if you suspect unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your account.
4. Licence and intellectual property
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for your own personal, non-commercial use.
The Service — including its software, content, exercise library, designs, text, graphics, and trademarks — is owned by us or our licensors and is protected by intellectual-property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works from any part of the Service.
5. Medical disclaimer and assumption of risk
THIS SECTION IS IMPORTANT. PLEASE READ IT CAREFULLY.
Not medical advice. BodyCode is a general fitness and wellness app. The content it provides — including workouts, exercises, and AI-generated recommendations — is for general informational and educational purposes only. It is not medical advice, is not a substitute for professional medical or fitness advice, diagnosis, or treatment, and should not be relied upon as such.
Consult a physician first. You should consult a qualified physician or healthcare professional before beginning any exercise program, especially if you are pregnant or nursing, are over the age of 35, are overweight, have or may have a heart condition, high blood pressure, diabetes, asthma, an injury, a disability, or any other medical condition, or take any medication. Stop exercising and seek medical attention immediately if you experience pain, dizziness, faintness, shortness of breath, chest discomfort, or any other concerning symptom.
Assumption of risk. You understand that physical exercise carries inherent risks, including the risk of serious personal injury, disability, or death, and damage to property. You voluntarily and knowingly assume all such risks associated with your use of the Service and your participation in any exercise or activity, whether or not foreseeable.
Release. To the fullest extent permitted by law, you release, waive, and discharge [COMPANY NAME] and its owners, officers, employees, and agents from any and all liability, claims, and demands for injury, loss, or damage arising out of or related to your use of the Service or your participation in any exercise or activity, even if caused by our negligence, to the extent such a release is permitted by applicable law.
Your responsibility. You are solely responsible for assessing your own physical condition, obtaining any needed medical clearance, using proper form and equipment, choosing appropriate weights and intensity, and exercising in a safe environment.
BY CREATING AN ACCOUNT AND USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO THIS MEDICAL DISCLAIMER, ASSUMPTION OF RISK, AND RELEASE.
6. AI-generated content
Some workouts and recommendations are generated by artificial intelligence. AI systems are not perfect and may produce content that is inaccurate, incomplete, or unsuitable for you, your fitness level, your goals, or your physical condition.
You agree that AI-generated content is provided "as is" for general informational purposes only, is not professional fitness or medical advice, and that you will use your own judgment, and consult a qualified professional where appropriate, before relying on it. To the fullest extent permitted by law, we are not liable for any errors in AI-generated content or for any injury, loss, or damage resulting from your reliance on it. Section 5 applies fully to AI-generated content.
7. Your content
The Service lets you create content such as workout templates, notes, and logged data ("Your Content"). You retain ownership of Your Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, and display Your Content solely to operate and provide the Service to you (and, where you use coaching features, to the trainer or trainee you are connected with).
You are responsible for Your Content and represent that you have the rights to it and that it does not violate these Terms or any law.
8. Acceptable use
You agree not to:
- use the Service for any unlawful purpose or in violation of these Terms;
- harass, abuse, threaten, or harm another person;
- attempt to gain unauthorized access to the Service, other accounts, or our systems;
- interfere with or disrupt the Service, or introduce malware;
- scrape, copy, or harvest data from the Service except as expressly permitted;
- reverse-engineer, decompile, or attempt to extract source code from the Service; or
- misrepresent your identity or impersonate any person or entity.
9. Third-party services
The Service relies on third-party services (including Supabase, Anthropic, Sentry, Google, Apple, and Expo) and may link to or interoperate with other third-party products. We are not responsible for third-party services, and your use of them may be governed by their own terms and privacy policies.
10. Subscriptions and payments
The Service is currently provided free of charge. If we introduce paid features or subscriptions in the future, additional terms will apply, and any purchases made through the Apple App Store or Google Play will also be subject to those stores' billing terms, including their rules on pricing, renewal, and cancellation. We will make those terms available before you make any purchase.
11. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any content (including AI-generated content) is accurate, reliable, or suitable for you.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
- BodyCode and its owners, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or related to your use of (or inability to use) the Service.
- Our total aggregate liability for all claims arising out of or related to the Service or these Terms will not exceed the greater of [LIABILITY CAP] or the amount you paid us, if any, in the twelve (12) months before the event giving rise to the claim.
- These limitations apply regardless of the legal theory and even if we have been advised of the possibility of such damages.
Nothing in these Terms limits liability that cannot be limited by law, including liability for death or personal injury caused by our negligence where such limitation is prohibited, fraud, or fraudulent misrepresentation. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
13. Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless [COMPANY NAME] and its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms or any law; (c) your violation of any third-party right; or (d) Your Content.
This indemnity does not apply to the extent a claim arises from our own gross negligence, willful misconduct, or breach of these Terms. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defense. You may not settle any such matter without our prior written consent. This Section survives termination of these Terms.
14. Dispute resolution; arbitration; class-action waiver
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.
Informal resolution first. Before starting any formal proceeding, you agree to contact us at [CONTACT EMAIL] and try in good faith to resolve the dispute informally for at least 30 days.
Binding arbitration. Except as set out below, any dispute, claim, or controversy arising out of or relating to the Service or these Terms will be resolved by final and binding arbitration on an individual basis, administered by [ARBITRATION ADMINISTRATOR, e.g. JAMS or AAA] under its consumer arbitration rules then in effect, seated in [ARBITRATION VENUE], rather than in court. The arbitrator shall apply the governing law specified in Section 15.
Class-action waiver. To the fullest extent permitted by law, you and we each agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
Non-severability of the class-action waiver. If the class-action waiver above is found unenforceable or invalid as to any claim or request for relief, then that claim or request will be severed from arbitration and decided by a court of competent jurisdiction, and the remainder of this Section (including the agreement to arbitrate all other claims on an individual basis) will remain in full force. Under no circumstances will the parties be required to arbitrate any claim on a class, collective, or representative basis.
Exceptions and your rights. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief for intellectual-property or unauthorized-access claims. You may opt out of this arbitration agreement by emailing [CONTACT EMAIL] within 30 days of first accepting these Terms.
Consumers. Nothing in this Section deprives you of any mandatory rights you have as a consumer under the laws of your country of residence. If you are a consumer in the EU, the UK, or another jurisdiction whose law prohibits mandatory arbitration or class-action waivers for consumers, this Section does not apply to you to the extent it is prohibited, and you may bring claims in, and remain subject to, the courts and mandatory consumer-protection laws of your place of residence.
15. Governing law and venue
These Terms are governed by the laws of [GOVERNING JURISDICTION], without regard to its conflict-of-laws rules. Subject to Section 14, the courts located in [GOVERNING JURISDICTION] will have jurisdiction, except that mandatory consumer-protection laws and the courts of your country of residence continue to apply where required by law.
16. Termination
You may stop using the Service and delete your account at any time — from within the app (Profile → Delete account), via our public account-deletion page, or by emailing [CONTACT EMAIL]. We may suspend or terminate your access to the Service at any time if you violate these Terms, if required by law, or if we discontinue the Service. Sections that by their nature should survive termination — including Sections 4, 5, 6, 7, 11, 12, 13, 14, 15, and 19, and any other provision that by its nature should survive — will survive.
17. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you in the app. Your continued use of the Service after the changes take effect means you accept the updated Terms. If you do not agree, you must stop using the Service.
18. Apple and Google app-store terms
These Terms are between you and [COMPANY NAME] only, and not with Apple Inc. or Google LLC. You acknowledge that [COMPANY NAME], not Apple or Google, is solely responsible for the app and its content.
Apple App Store. If you obtained the app from the Apple App Store, you acknowledge and agree that:
- Scope of licence. The licence granted to you is a non-transferable licence to use the app on any Apple-branded products that you own or control, and only as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the app may be accessed by other accounts associated with you via Family Sharing or volume purchasing.
- No Apple support. Apple has no obligation to provide maintenance or support for the app.
- Warranty. In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation for the app.
- Claims. [COMPANY NAME], not Apple, is responsible for addressing any claims you or any third party may have relating to the app or your possession and/or use of it, including (a) product-liability claims; (b) any claim that the app fails to conform to any legal or regulatory requirement; and (c) claims arising under consumer-protection, privacy, or similar laws.
- Intellectual property. In the event of any third-party claim that the app or your possession and use of it infringes that third party's intellectual-property rights, [COMPANY NAME], not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
- Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
- Legal compliance. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist-supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
Apple's standard Licensed Application End User License Agreement (LAEULA) also applies to the extent these Terms do not.
Google Play. If you obtained the app from Google Play, your use is also subject to the Google Play Terms of Service.
19. General
Subject to Section 14 (which governs the enforceability of the arbitration agreement and class-action waiver):
- Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and us regarding the Service.
- Severability. If any provision is found unenforceable, the rest remains in effect, and the unenforceable provision will be limited to the minimum extent necessary.
- No waiver. Our failure to enforce any provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
